STS (Stock Stories LTD) Service Agreement
Welcome to STS! Before you begin using our services, please carefully read this agreement. It is a significant contract that outlines the terms and conditions between you and us.
Arbitration Notice: Unless you are accessing or using the services on behalf of a company or other legal entity, or you choose to opt out of arbitration within 30 days of agreeing to these terms, following the opt-out procedure specified in the "Dispute Resolution for Consumers" section below, you agree that any disputes between you and STS will be resolved through binding, individual arbitration. By agreeing to these terms, you are waiving your right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding, except for certain types of disputes described in the "Dispute Resolution for Consumers" section below.
Our Services and Limitations
STS is a wholesale platform that offers a wide range of fashion items at competitive prices. Our goal is to establish a new B2B supply chain and provide services primarily to small and medium-sized wholesalers and retailers.
We sell all items at wholesale prices. Our responsibilities under these terms are focused solely on facilitating the availability of our services and platform.
To process payments, we utilize Stripe and PayPal. However, we do not assume any responsibility for risks associated with third-party systems.
Terms of Service Agreement
By utilizing our Services, you acknowledge and accept the following terms. If you do not agree to these terms, please refrain from using our Services. If you are accessing and using our Services on behalf of a company or any other legal entity, you affirm that you have the authority to legally bind that entity to these terms. In such cases, the terms "you" and "your" will pertain to that company or legal entity.
Use of the Services
You may only use our Services if you are of legal age and have the capacity to enter into a binding contract. Furthermore, you must not be prohibited by the laws of the United States or any applicable jurisdiction from receiving services. Your use of the Services must comply with these terms, as well as all relevant local, state, national, and international laws, rules, and regulations.
Our Services are continuously evolving, and the form and nature of the Services we provide may change over time without prior notice to you. Additionally, we may need to discontinue the provision of the Services (permanently or temporarily) to you or to users in general, if we deem it necessary. In such cases, we may be unable to provide you with advance notice.
Registration and Account Creation
To purchase products, you are required to register with our platform, create a username, and provide certain information as prompted by the registration form, including a valid email address. You are prohibited from using a username with the intent to impersonate another person or entity, including our staff or representatives. We retain the right to remove or reclaim inactive usernames or usernames belonging to businesses or individuals who hold the trademark or other legal claim to those usernames.
By creating an account, you agree to comply with these terms and provide accurate information. Unless you are an authorized agent acting under the direction of another person, you may not create an account on behalf of anyone other than yourself. If any information provided by you proves to be inaccurate, false, or in violation of these terms, we reserve the right to suspend or terminate your account.
Integration with Third-Party Accounts
You also have the option to link your STS account with your account on third-party sites, such as Facebook or Google (referred to as "Third-Party Account"). If you choose to provide us with your Third-Party Account credentials or link your STS account with a Third-Party Account, we will extract certain personal information, such as your name, email address, and other personal or contact information that your privacy settings on the Third-Party Account allow us to access.
Passwords It is your responsibility to ensure the security of the password you use to access the Services. You agree to take full responsibility for any activities or actions that occur under your account, whether or not you have authorized them. We strongly recommend using strong passwords, which include a combination of letters, numbers, and symbols. If you suspect any unauthorized use of your account or believe that your password may have been lost, stolen, disclosed to an unauthorized third party, or compromised in any way, you must immediately notify STS. You can contact STS by sending an email to Sales@stockstories.com . Please be aware that STS is not liable for any loss or damage resulting from your failure to comply with the above requirements.
Purchasing When making a purchase, you may be required to provide payment information, such as your credit card number, bank account and routing number, credit card expiration date, billing and delivery addresses, and other details related to your financial accounts (collectively referred to as "Payment Information"). By making a purchase, you authorize STS and its payment processor(s) to use the Payment Information to charge your designated payment account. Additionally, you authorize STS and its payment processors to rectify any payment errors, including processing mistakes, by debiting or crediting the payment account used in the relevant transaction.
You agree to bear any additional charges imposed by your bank or other financial service providers. Once the transaction is completed, you will receive a confirmation email. If you have any concerns or objections regarding the charges, you agree to address them with us first and refrain from canceling, rejecting, initiating a chargeback, or requesting a reversal of any charges related to a purchase unless you have made a reasonable effort to resolve the issue directly with STS.
Please note that a purchase may be subject to local sales tax, customs duties, value-added tax, or additional postage fees upon delivery. These charges are not imposed by the Services, and STS cannot be held responsible for them or provide specific advice regarding order-related taxes or postal fees.
Liability and Disputes
STS does not have any control over or liability for the quality, safety, legality, descriptions, photos, or any other aspects of the items listed for sale. Additionally, STS does not have any control over or liability for the accuracy, truthfulness, quality, or any other aspects of the materials and information associated with the listings. STS is not responsible for defective items.
If you receive an item from STS in a defective condition, you can seek a remedy by providing a clear description and photo to demonstrate the existence of the defect. This claim must be submitted within 30 days after the delivery date. STS will engage in communication with you and offer solutions to ensure your satisfaction.
STS reserves the right, at its sole discretion, to determine whether and when return postage will be provided to the buyer or if the cost of return shipping will be partially reimbursed as store credit.
Users have the option to submit feedback regarding their experience with the services or products on STS. The rating and feedback features should only be used for the genuine purpose of sharing feedback about your experience. Any other misuse of the feedback system is prohibited. It is not allowed to threaten to submit negative feedback or withhold positive feedback in order to gain additional benefits. Manipulating another user's rating through feedback submission is also not permitted. Feedback information provided by a user may be made available to other users through the services.
Special Privacy Terms for European Union Residents
As part of the Services we offer, you may receive notifications, alerts, or other messages through text message, email, or the messaging functionality provided by the Services ("Messages"), if enabled. You have control over the Message settings and can choose to opt-in or out of these Messages, except for infrequent, important service announcements and administrative messages. You can manage your Message preferences through your account settings or by following the unsubscribe instructions in the emails you receive. Please note that you may incur third-party messaging fees depending on your wireless carrier's message plan.
If you provide your cell phone number and consent to receive communications from STS, you explicitly authorize STS to send text messages or make calls to your phone. It is not mandatory to consent to receive text messages or calls in order to use the Services, and you can opt-out of such messages at any time. To stop receiving text messages, you can adjust your Account settings or reply with STOP to the text message.
For the purposes of these Terms: (i) "Content" refers to text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided, or made available through the Services. (ii) "User Content" refers to any Content that Buyers and Sellers (including you) provide to be made available through the Services. Content includes User Content without limitation.
All Content is the sole responsibility of the person who originated it, including its legality, reliability, and appropriateness. We do not monitor or control the Content posted via the Services, and we cannot be held responsible for such Content. Your use of or reliance on any Content or materials posted via the Services or obtained through the Services is at your own risk.
We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Services. By using the Services, you understand that you may come across Content that might be offensive, harmful, inaccurate, or otherwise inappropriate. In some cases, there may be postings that have been mislabeled or are otherwise deceptive. STS will not be liable in any way for any Content, including but not limited to any errors or omissions in any Content, or any loss or damage incurred as a result of using any Content posted, emailed, transmitted, or made available through the Services or elsewhere.
STS may provide a catalog of items, which may include photos, descriptions, and other information. However, STS cannot guarantee the accuracy or timeliness of the information contained in such a catalog, and you agree not to hold STS responsible for any inaccuracies.
Subject to your compliance with these Terms, STS grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and view the Content solely in connection with your authorized use of the Services.
Your User Content The content you provide as a user will be visible to other users of the Services. You should only share information or provide User Content that you are comfortable with others seeing, according to these Terms. You are responsible for your use of the Services, the User Content you provide, and any consequences that may arise from it, including the use of your User Content by other users and our third-party partners. STS is not responsible or liable for any use of your User Content by STS in accordance with these Terms. You declare and guarantee that (i) you have all the necessary rights, power, and authority (you own it or have the right to use it) to grant the rights granted herein to any User Content submitted; and (ii) your User Content or your use and provision of your User Content to be made available through the Services do not violate any privacy rights, publicity rights, intellectual property rights, contract rights, or any other rights of any person or entity, or result in the violation of any applicable law or regulation.
You can request the removal of your User Content from the Services at any time by specifically deleting it or sending a request to customer support. Some User Content cannot be completely deleted as it may be necessary for tax or other purposes by either STS or another user. If you choose to remove your User Content or cancel your account, your User Content will be removed from public view as soon as possible (although backup copies may remain for archival and record-keeping purposes). However, in certain cases, copies of your User Content may still exist in published or recorded form if it has been retransmitted, redistributed, or otherwise shared. We are not responsible or liable for the removal or deletion of (or the failure to remove or delete) any User Content on the Services. We reserve the right to impose usage and storage limits at our sole discretion at any time, with or without notice.
For all authorized users regardless of their country of residence, by submitting, posting, or displaying User Content on or through the Services, you grant us, our third-party service providers, and partners a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content through any and all media or distribution methods (currently known or developed in the future) in connection with the Services. You agree that this license includes the right for us to make your User Content available to other users of the Services, who may also use your User Content in accordance with these Terms to utilize the Services. No compensation will be provided for the User Content you submit, post, transmit, or make available through the Services, even if it is used by other companies, organizations, or individuals partnered with STS.
We may need to modify or adapt your User Content in order to transmit, display, or distribute it over computer networks and various media, or make changes necessary to
Your User Content
The content you contribute as a user will be visible to other users of the Services. By submitting User Content, you declare and guarantee that (i) you possess all the necessary rights, power, and authority (either ownership or the right to use) to grant the rights granted herein to any User Content submitted; and (ii) your User Content or your use and provision of your User Content through the Services do not infringe upon any privacy rights, publicity rights, intellectual property rights, contract rights, or any other rights of any person or entity, nor do they violate any applicable laws or regulations.
You have the option to request the removal of your User Content from the Services at any time by either deleting it directly or contacting customer support. However, please note that certain User Content may not be entirely deleted if it is required for tax or other purposes, either by STS or another user. If you choose to remove your User Content or cancel your account, we will make every effort to remove your User Content from public view as soon as possible (although backup copies may be retained for archival and record-keeping purposes). In order to transmit, display, or distribute your User Content over computer networks and various media, we may need to modify or adapt it, or make changes necessary for technical purposes.
The Services are provided "AS-IS."
Your use of the Services or any Content is entirely at your own risk. You acknowledge and agree that the Services are made available to you on an "AS IS" and "AS AVAILABLE" basis. Without limiting the preceding statement, STS explicitly disclaims any warranties, whether expressed or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, as well as any warranties arising from a course of dealing or usage of trade. We do not provide any warranty and assume no responsibility or liability for the completeness, accuracy, availability, timeliness, security, or reliability of the Services or any Content provided therein. We cannot guarantee the duration or manner in which items appear on STS, whether in our catalog, at auction, or through any other means. STS shall not be held responsible or liable for any harm to your computer system, loss of data, glitches, bugs, errors, delays, disruptions, or any other harm resulting from your access to or use of the Services or any Content. By using the Services, you agree that STS is not liable for any damages or losses directly or indirectly resulting from the suspension of your account. We make no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from STS or through the Services, will create any warranty not expressly stated here.
You agree to defend, indemnify, and hold STS, its partners, and their officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising from or in connection with your access to or use of the Services, your violation of these Terms, or any Content posted, published, transmitted, or provided by you or on your behalf.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STS, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT BY OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; (iv) ANY ITEMS SOLD OR PURCHASED THROUGH THE SERVICES; OR (v) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF STS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL STS'S TOTAL LIABILITY TO YOU FOR ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY EXCEED $50.
Waiver & Severability
Failure by STS to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found to be invalid or unenforceable (either by an arbitrator appointed pursuant to the terms of the "Dispute Resolution for Consumers" section below or by a court of competent jurisdiction, if you are accessing and using the Services on behalf of a company or other legal entity or timely opt out of arbitration as set forth below), the remaining provisions of these Terms shall remain in full force and effect.
You may not assign or transfer these Terms, either by operation of law or otherwise, without prior written consent from STS. Any attempt by you to assign or transfer these Terms without such consent shall be null and void. STS may freely assign or transfer these Terms without any restrictions. Subject to the foregoing, these Terms shall bind and benefit the parties, their successors, and permitted assigns.
STS will provide any notices or other communications to you under these Terms through either: (i) email; or (ii) by posting on the Site. For notices sent via email, the date of receipt shall be considered the date on which such notice is transmitted.
These Terms and any actions related thereto shall be governed by the laws of the State of Delaware, without regard to or application of its conflict of law provisions or your state or country of residence.
Dispute Resolution for Commercial Entities
If you are accessing and using the Services on behalf of a company or other legal entity, any claims, legal proceedings, or litigation arising in connection with the Services shall be exclusively brought in the state and federal courts located in Newark, Delaware. By using the Services, you consent to the jurisdiction and venue of such courts and waive any objection to an inconvenient forum.
Shipping: STS ships orders from its main warehouse. Depending on stock availability, some orders may be split into multiple shipments at the discretion of STS. We appreciate your understanding. Our team takes great care in packaging your orders to ensure that your items arrive safely. However, we cannot guarantee that items will not be mishandled during shipping. While we are not obligated to cover damages that occur during shipping, we value our relationship with our customers and will make efforts to resolve any issues promptly and to your satisfaction.
Disclaimer and Limitation of Liability: Except as stated in the standard terms of sale that govern the sale of each product on this platform, STS provides this platform, the products offered on it, and the transactions conducted through it on an "as is" basis. STS makes no express or implied representations or warranties regarding the operation of the platform or the information, content, materials, or products included on it, except as explicitly provided here. To the maximum extent permitted by applicable law, STS disclaims all warranties, including but not limited to implied warranties of merchantability and fitness for a particular purpose, non-infringement, title, quiet enjoyment, data accuracy, and system integration. This platform may contain inaccuracies, mistakes, or typographical errors. STS does not guarantee uninterrupted or error-free access to the content. To the maximum extent permitted by law, STS shall not be liable for any damages arising from the use of this platform, including but not limited to indirect, incidental, punitive, exemplary, special, or consequential damages. To the maximum extent permitted by applicable law, STS total liability to you for any damages (regardless of the basis for the action) shall not exceed the total fees actually paid by you to STS during the month immediately preceding the alleged act giving rise to STS liability.
Order Acceptance: Please note that there may be certain orders that we are unable to accept and must cancel. STS reserves the right, at its sole discretion, to refuse or cancel any order for any reason. Situations that may result in order cancellation include limitations on available quantities, inaccuracies or errors in product or pricing information, or issues identified by our credit and fraud avoidance department. We may also require additional verifications or information before accepting an order. If your order or any part of it is canceled, or if additional information is required, we will contact you.
Both parties agree that once an order is dispatched, the responsibility for transportation lies with the third-party logistics company. At this stage, the buyer assumes full ownership of the product(s), and all associated liability and risks during transportation are borne by the buyer.
Order Cancellation: Buyers are free to cancel orders within 48 hours after payment. For any questions, please contact our Support Center at Sales@stockstories.com. However, once an order has been dispatched, it cannot be canceled, changed, or refunded. Our Service and Return policy comes into effect upon receipt of the package. For details, please refer to the "Order and Payment" section.
Typographical Errors: While STS strives to provide accurate product and pricing information, there may be pricing or typographical errors. The price of an item cannot be confirmed until you place an order. In the event that an item is listed at an incorrect price or with incorrect information due to an error in pricing or product information, STS reserves the right, at its sole discretion, to refuse or cancel any orders placed for that item. If an item is mispriced, STS may contact you for instructions or cancel your order and notify you accordingly.
Pricing in Different Currencies: The prices of products sold by STS are based on calculations in U.S. Dollars (US$). The displayed price on each product page, regardless of currency denomination, represents the current price you are liable to pay to STS, excluding shipping costs.
Links: This platform may contain links to other third-party sites on the internet. You acknowledge that STS is not responsible for the operation or content of any such site.
Remedies: You agree that STS's remedy at law for any actual or threatened breach of this agreement would be inadequate, and STS shall be entitled to specific performance or injunctive relief, or both, in addition to any legally recoverable damages, including reasonable expenses related to dispute resolution, such as attorneys' fees. No right or remedy of STS shall be exclusive of any other, whether at law or in equity, including, without limitation, damages, injunctive relief, attorneys' fees, and expenses. No waiver by STS of its rights or remedies under these terms and conditions shall imply any obligation to grant similar waivers in the future.
Customer Code of Conduct
At STS, we are committed to providing exceptional customer service and ensuring the satisfaction of our customers. We value our Customer Service Team members and expect all interactions to be conducted in a respectful and reasonable manner.
Examples of unacceptable behavior towards our Customer Service staff or STS include:
Engaging in aggressive, abusive, or threatening behaviors, such as making direct or implied threats through any communication channel, using intimidating language, personal or verbal abuse, making sexist, racist, homophobic, or derogatory remarks, being rude, making inflammatory statements, swearing, or making unsubstantiated allegations.
Persistently making repetitive or vexatious complaints even after the matter has been fully addressed, or repeatedly changing the nature or focus of a complaint or desired outcome after a formal response has been provided, despite fair and reasonable solutions offered in accordance with our policies.
Requesting, expecting, or demanding our staff to violate established company policy guidelines, such as refund amounts, timeframes, special compensation, etc. Similarly, seeking an unrealistic outcome that goes beyond the scope of our policies and procedures. Please note that refunds cannot exceed the original order amount paid to STS unless stated otherwise in our policies.
Exhibiting an excessive number of complaints compared to the total purchase value history.
If any customer engages in such behavior, they may be advised and formally notified of the following:
Their use of offensive, abusive, threatening language is wholly unacceptable.
They must refrain from using such language, intimidation, and threats.
If they persist with this behavior, further correspondence on the matter will cease.
STS reserves the right to refuse future orders from the customer without prior notice.
Changes Except for changes to these Terms stated in the "Entire Agreement" section below, if STS modifies this "Dispute Resolution for Consumers" section after you initially accepted these Terms (or any subsequent changes), you have the right to reject such changes by sending written notice (including via email to Sales@stockstories.com) within 30 days of the effective date of the change, as indicated in the "Last Updated" date above or in the date of STSs email notifying you of the change. By rejecting any change, you agree to resolve any disputes between you and STS through arbitration, following the provisions stated in this "Dispute Resolution for Consumers" section as of the date you initially accepted these Terms (or any subsequent changes).
Entire Agreement These Terms, along with the STS Rules, constitute the entire and exclusive agreement between STS and you regarding the Services. These Terms supersede and replace any prior agreements between STS and you regarding the Services. These Terms apply solely to STS and you and do not create any third-party beneficiary rights, except as expressly provided in these Terms.
We may update these Terms periodically. If we make any substantial changes, we will notify you by posting them on the STS website, sending you an email or other notification, and indicating the effective date of such changes. By continuing to access or use the Services after the revisions take effect, you agree to be bound by the updated Terms.
